Terms of Service

Welcome to Readify. These Terms of Service ("Terms") govern your access to and use of the Readify platform, including all associated applications, services, and content (collectively, the "Service"), operated by Readify LLC ("Readify," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. License to Use the Platform

Subject to your compliance with these Terms, Readify grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose: AI-assisted literacy education, reading comprehension, and content generation.

This license does not include the right to:

• Modify, reverse-engineer, or create derivative works from the Service
• Sublicense, resell, or redistribute the Service without written consent
• Use the Service for any unlawful purpose or in violation of applicable laws
• Attempt to bypass security measures or access restrictions

2. Accounts and Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

For school accounts, the designated school administrator is responsible for managing student and teacher accounts within their institution.

3. User Responsibilities

You agree to use the Service responsibly and in compliance with all applicable laws. You shall not:

• Upload or transmit any content that is harmful, threatening, abusive, defamatory, or otherwise objectionable
• Interfere with or disrupt the Service or its underlying infrastructure
• Use automated systems (bots, scrapers, etc.) to access the Service without authorization
• Impersonate another person or entity
• Use the Service in a manner that could damage, disable, or impair the Service

5. Subscription Terms and Pricing

5.1 Individual Plans

Readify offers the following individual subscription tiers (billed monthly):

• Seeds — $7.50/month: Core reading tools, 100 AI illustrations/month, 200 Q&A queries/month
• Aspen — $15/month: Everything in Seeds plus 500 AI illustrations/month, 1,000 Q&A queries/month, classroom analytics, and teacher admin controls
• Sakura — $30/month: Everything in Aspen plus local GPU acceleration, SDXL Lightning image generation, school-wide analytics, and priority support
• Sequoia — $60/month: Everything in Sakura plus multi-GPU workstation support, unlimited usage, district-level reporting, and a dedicated success manager

5.2 School Plans

School pricing is calculated on a per-student, per-year basis. Contact us at [email protected] for a custom quote.

5.3 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. Payments are processed through Stripe. All amounts are in U.S. dollars unless otherwise stated.

6. Cancellation and Refund Policy

• You may cancel your subscription at any time through your account settings or by contacting us at [email protected]
• Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.
• Refunds for unused portions of a billing period are available within 14 days of the initial subscription or upgrade. After 14 days, no refunds will be issued for partial billing periods.
• School contracts may have separate cancellation terms as specified in the institutional agreement.

7. Intellectual Property

7.1 Your Content

You retain full ownership of all content you create, upload, or generate using the Service. This includes stories, illustrations, reading exercises, and any other materials produced through your use of Readify. We claim no ownership or intellectual property rights over your content.

7.2 Our Content

The Readify platform, including its software, design, logos, trademarks, documentation, and proprietary AI models, is owned by Readify LLC and protected by intellectual property laws. You may not copy, modify, or redistribute any part of our platform without written permission.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, perpetual, royalty-free license to use that feedback to improve the Service.

8. Third-Party Services

The Service may integrate with or contain links to third-party services. These include:

• Stripe — Payment processing
• Cloudflare — Content delivery, DNS, and DDoS protection
• Calendly — Appointment scheduling for demos and consultations

Your use of third-party services is subject to their respective terms and privacy policies. Readify is not responsible for the content, practices, or availability of third-party services.

9. Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned downtime.

You agree to indemnify, defend, and hold harmless Readify LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and COPPA Compliance Statement, constitute the entire agreement between you and Readify regarding the Service and supersede all prior agreements and understandings.
